These Website Terms and Conditions (“Terms”) govern your access to and use of the Adler Aerospace website, including adleraerospace.com and any webpages, content, features, forms, or services made available through it (collectively, the “Site”).
The Site is operated by AdlerAerospace LLC, a Wyoming limited liability company doing business as Adler Aerospace (“Adler,” “we,” “us,” or “our”).
By accessing or using the Site, you agree to these Terms. If you access the Site on behalf of a company, government agency, or other organization, you represent that you have authority to accept these Terms on its behalf. If you do not agree, do not use the Site.
1. Purpose and Scope
The Site provides general information about Adler, its capabilities, technologies, products, services, partnerships, and business activities.
The Site and these Terms do not govern the sale, purchase, licensing, delivery, export, support, or use of any Adler product, technology, technical data, software, or service. Those activities require separate written agreements and may be subject to eligibility reviews, end-user and end-use screening, regulatory approvals, export licenses, security requirements, and other conditions.
If a separate written agreement with Adler conflicts with these Terms, that agreement controls with respect to its subject matter.
2. Informational Content; No Offer or Commitment
Site content is provided for general informational and business-evaluation purposes. Nothing on the Site constitutes:
A binding offer, quotation, acceptance, warranty, or contractual commitment;
An authorization to purchase, possess, export, reexport, transfer, integrate, operate, or deploy any product or technology;
Engineering, operational, legal, regulatory, security, or procurement advice;
A representation that any product, capability, configuration, performance level, certification, approval, or delivery schedule is currently available; or
An endorsement, approval, or sponsorship by the United States Government, any foreign government, military organization, or other public authority.
Product descriptions, specifications, images, renderings, performance information, and development plans may be preliminary, illustrative, conceptual, or subject to change. Certain materials may depict prototypes, third-party components, potential configurations, or capabilities under development.
No order, partnership, representation, distributorship, license, or other commercial relationship is created through the Site or its contact forms.
3. Permitted Use
Subject to these Terms, Adler grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Site for lawful informational and legitimate business purposes.
You may print or download reasonable portions of publicly available Site content for internal evaluation, provided that you preserve all copyright, trademark, confidentiality, and other notices and do not modify or misrepresent the content.
4. Prohibited Conduct
You may not:
Use the Site for any unlawful, fraudulent, deceptive, threatening, or harmful purpose;
Attempt to gain unauthorized access to the Site, its servers, accounts, systems, or data;
Interfere with the operation, availability, integrity, or security of the Site;
Introduce malware, malicious code, automated attacks, or other harmful technology;
Scrape, harvest, copy, index, or extract Site content through automated means without Adler’s written permission;
Use Site content to train, develop, or improve an artificial-intelligence or machine-learning model without Adler’s written permission;
Reverse engineer, decompile, disassemble, or attempt to derive source code from any Site software, except where such restriction is prohibited by law;
Impersonate Adler, its personnel, customers, partners, or any government authority;
Misrepresent your affiliation with or endorsement by Adler;
Remove or alter proprietary notices;
Use Adler’s name, trademarks, content, or imagery in advertising, promotion, fundraising, or marketing without written authorization; or
Use the Site to facilitate prohibited exports, sanctions evasion, bribery, corruption, weapons proliferation, terrorism, or other unlawful activity.
5. Intellectual Property
The Site and its content—including text, graphics, images, videos, designs, interfaces, software, product names, logos, trademarks, and other materials—are owned by or licensed to Adler and are protected by applicable intellectual-property laws.
Except for the limited right of use expressly granted in these Terms, no license or ownership interest is granted to you. No Adler trademark, service mark, trade name, product name, or logo may be used without Adler’s prior written permission.
Any unauthorized reproduction, distribution, republication, modification, display, performance, or commercial exploitation of Site content is prohibited.
6. Defense, Export-Control, and Sanctions Requirements
Adler operates in aerospace, defense, autonomous systems, unmanned systems, counter-unmanned aircraft systems, electronic warfare, sensors, software, and related technology sectors.
Products, services, software, source code, technical data, defense services, and other information associated with these sectors may be subject to United States and other applicable export-control, import-control, sanctions, customs, security, and technology-transfer laws. These may include the International Traffic in Arms Regulations, the Export Administration Regulations, and regulations administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control.
Public Site content is intended for public release unless expressly stated otherwise. However, publication on or access through the Site does not constitute an export authorization, license determination, commodity classification, jurisdiction determination, or authorization to receive controlled information.
You agree not to access, use, export, reexport, release, disclose, transfer, or otherwise deal with Site content or Adler technology in violation of applicable law. Product availability may depend on the location, nationality, citizenship, ownership, end user, end use, destination, and regulatory status of the parties involved.
No rights in technical data, computer software, defense articles, defense services, or controlled technology are granted through the Site. Government rights, if any, must be established through an applicable written contract and relevant procurement regulations.
7. Contact Forms and Submitted Information
Do not submit classified information, controlled unclassified information, export-controlled technical data or technology, sensitive government information, source code, security credentials, vulnerability information, or other restricted material through the Site or by ordinary email.
Before transmitting potentially controlled or sensitive information, contact Adler to establish an authorized and appropriately secured communication method.
By submitting information through the Site, you represent that:
You are authorized to provide it;
Its transmission does not violate any law, contractual obligation, confidentiality duty, or third-party right; and
It does not contain classified, export-controlled, or otherwise restricted information unless Adler has expressly authorized the method of transmission.
Unless Adler has entered into a written nondisclosure agreement covering the information, communications submitted through the Site will not create a confidential, fiduciary, agency, partnership, or advisory relationship.
Do not submit unsolicited proprietary concepts, inventions, designs, or business proposals that you expect Adler to treat as confidential or compensate you for reviewing.
8. Privacy and Analytics
Adler’s collection and use of personal information through the Site are governed by its Privacy Policy.
The Site may use analytics, security, performance, and similar technologies to understand traffic, maintain security, and improve functionality. Additional information regarding these technologies and any available choices will be provided in the Privacy Policy or applicable cookie notice.
9. Third-Party Services and Links
The Site may contain links to third-party websites or use third-party services. Adler does not control and is not responsible for third-party content, availability, security, privacy practices, products, or services.
A link or reference does not imply endorsement, sponsorship, partnership, or approval. Your use of third-party services is governed by the applicable third party’s terms and policies.
10. Site Availability and Security
Adler may modify, suspend, restrict, or discontinue any part of the Site at any time without notice. We do not guarantee that the Site will always be available, uninterrupted, secure, or error-free.
You are responsible for maintaining appropriate security protections for your devices, systems, credentials, and communications.
11. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Site and its content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise.
Adler disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, and security.
Adler does not warrant that Site content is complete, current, accurate, suitable for a particular purpose, free from harmful components, or sufficient for an engineering, procurement, investment, regulatory, security, or operational decision.
Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
12. Limitation of Liability
To the fullest extent permitted by applicable law, Adler and its officers, employees, representatives, contractors, and licensors will not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost revenue, lost data, business interruption, procurement losses, or loss of opportunity arising from or related to the Site.
To the fullest extent permitted by law, Adler’s total aggregate liability arising from or relating to the Site will not exceed the greater of:
The amount you paid Adler specifically for access to the Site during the twelve months preceding the event giving rise to the claim; or
One hundred United States dollars (US$100).
These limitations apply regardless of the legal theory asserted and even if Adler has been advised of the possibility of such damages. They do not apply to liability that cannot lawfully be limited or excluded.
13. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Adler and its officers, employees, representatives, contractors, and licensors from claims, liabilities, damages, losses, and reasonable costs arising from:
Your unlawful or unauthorized use of the Site;
Your violation of these Terms;
Information or materials you submit through the Site; or
Your infringement or violation of another person’s rights.
This obligation does not apply to the extent a claim results directly from Adler’s own unlawful conduct.
14. Suspension and Termination
Adler may restrict, suspend, or terminate your access to the Site if Adler reasonably believes you have violated these Terms, created a security or legal risk, or used the Site in a manner harmful to Adler or others.
Provisions that by their nature should survive termination—including intellectual-property, export-control, disclaimer, liability, indemnification, and governing-law provisions—will remain in effect.
15. International Use
The Site is operated from the United States. Adler does not represent that the Site or its content is appropriate, lawful, or available in every jurisdiction.
If you access the Site from outside the United States, you are responsible for compliance with applicable local laws. Mandatory rights available under applicable consumer or data-protection law are not limited by these Terms where they cannot lawfully be waived.
16. Governing Law and Venue
These Terms are governed by the laws of the State of Wyoming and applicable United States federal law, without regard to conflict-of-law principles.
Except where applicable law requires otherwise, any legal proceeding relating to the Site or these Terms must be brought in a state court located in Teton County, Wyoming, or a federal court having jurisdiction over Teton County. You consent to the personal jurisdiction of those courts.
17. Changes to These Terms
Adler may revise these Terms periodically. Updated Terms will be posted on the Site with a revised effective date.
Changes apply prospectively from the stated effective date. Your continued use of the Site after updated Terms take effect constitutes acceptance of those Terms, except where applicable law requires another form of notice or consent.
18. General Provisions
If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in effect.
Adler’s failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these Terms without Adler’s written consent. Adler may assign these Terms as part of a merger, reorganization, asset transfer, financing, or similar transaction.
The English-language version controls to the extent permitted by applicable law.
